Terms and Conditions for Users and developers of OffPlanProperties.ai  

This document is divided into two parts:  

• Part 1 applies to Users – individuals using the Platform to search for off-plan properties in the UAE.  
• Part 2 applies to Developers – licensed real estate developers listing projects or units on the Platform.  

TERMS & CONDITIONS FOR USERS  

1. Acceptance of Terms  

1.1 These Terms and Conditions ("Terms") govern your access to and use of the OffPlanProperties.ai platform (the "Website"), a property discovery and AI-powered marketing platform focusing exclusively on off-plan real estate market in Dubai (UAE).  

1.2 By using the Website, creating an account, submitting an inquiry, or interacting with any property listing, you agree to be bound by these Terms and our Privacy Policy. You also acknowledge that you have read and understood these documents in full. If you do not accept or agree to these Terms, you must immediately stop using the Website.  

1.3 These Terms constitute a legally binding agreement between you (the "User") and OffPlanProperties.ai, operated by Off plan Portal L.L.C, a company incorporated and existing under the laws of the United Arab Emirates. The use of terms such as "we", "our", or "us" refers to OffPlanProperties.ai and its affiliated entities.  

1.4 The Website is offered and available to users who are at least eighteen (18) years old. By using the Website, you represent and warrant that you are of legal age to form a binding contract with OffPlanProperties.ai. If you are using the Website on behalf of a company or other legal entity, you further represent that you have the authority to bind such entity to these Terms.  

1.5 OffPlanProperties.ai reserves the right to update, modify, or revise these Terms at any time. Any changes will be effective immediately upon posting the updated version on the Website. Your continued use of the Website after any such changes constitutes your acceptance of the revised Terms. We recommend you review the Terms periodically to stay informed of any updates.  

1.6 In addition to these Terms, certain services offered on the Website may be subject to specific terms and conditions. In the event of a conflict between these Terms and any additional service-specific terms, the additional terms will prevail for that specific service.  

2. Use License & Restrictions  

2.1 OffPlanProperties.ai grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for personal and non-commercial purposes, subject to these Terms.  

2.2 You agree not to:  

• Reproduce, redistribute, republish, copy, adapt, display, or transmit any content from the Website without express written permission.  
• Use automated tools (e.g., bots, crawlers, or scrapers) to access or extract data from the Website.  
• Reverse-engineer, disassemble, or attempt to derive the source code of the Website.  
• Upload viruses, worms, logic bombs, or other malicious software.  
• Mirror or frame the Website or any part of it on another server or webpage.  
• Build or develop a competing service or database based on Website data.  
• Attempt unauthorized access to the Website, user accounts, or connected systems.  
• Misrepresent your identity or affiliation with any entity or impersonate another person.  
• Post or transmit any content that violates intellectual property laws or third-party rights.  
• Engage in behavior that OffPlanProperties.ai deems, at its sole discretion, as disruptive or abusive.   
  
   

2.3 This license shall automatically terminate if you violate any of these restrictions and may be terminated at any time without notice. Upon termination, you must destroy all content obtained from the Website.  

3. Platform Role and User Responsibility  

3.1 OffPlanProperties.ai is a marketing and property discovery platform for the off-plan real estate market in Dubai.   

3.2 Property listings, descriptions, visuals, and other data are provided by third-party developers, agents, or other authorized entities. OffPlanProperties.ai:  

• Does not verify or endorse the completeness or accuracy of listings.  
• Cannot guarantee the current availability, pricing, or features of any property.  

3.3 The User agrees to:  

• Independently verify all property information before making financial decisions.  
• Contact licensed developers directly for detailed due diligence.  

3.4 OffPlanProperties.ai assumes no liability for financial loss, legal implications, or decisions made based on information on the Website.  

4. Intellectual Property  

4.1 All materials on OffPlanProperties.ai—including code, visuals, layout, branding, content, and features—are the exclusive intellectual property of OffPlanProperties.ai or its licensors.  

4.2 You may not:  

• Copy, distribute, or create derivative works from any Website content without prior written consent.  
• Use logos, trademarks, service marks, or any brand elements in connection with commercial offerings, advertising, or endorsements.  

4.3 Any unauthorized use of intellectual property will result in immediate revocation of access and may be subject to legal enforcement under applicable UAE intellectual property laws.  

5. User Contributions  

5.1 When you post or submit any content (including reviews, feedback, inquiries, or listings) to OffPlanProperties.ai, you:  

• Grant a non-exclusive, perpetual, worldwide, royalty-free license for OffPlanProperties.ai to use, reproduce, display, modify, and distribute that content in any media.  
• Acknowledge that your content may be edited, removed, or refused if it is deemed misleading, offensive, illegal, or inappropriate.  

5.2 You represent and warrant that:  

• You own the rights to any content you submit or have proper authorization.  
• Your content does not violate any law, regulation, or third-party rights.  
• You will not submit defamatory, infringing, obscene, or deceptive content.  

5.3 OffPlanProperties.ai is not responsible for any claims arising out of content you contribute.  

6. Data & Lead Sharing  

6.1 When you inquire about a property or submit your contact details:  

• Your information may be shared with the developer of the property you are interested in.  

6.2 OffPlanProperties.ai adheres to UAE data protection and privacy laws and uses commercially reasonable safeguards to protect your personal information.  

6.3 By using the platform and submitting your data, you consent to:  

• Being contacted by the above parties via phone, email, or SMS.  
• Having your data used for follow-up and marketing purposes related to Dubai properties.  

7. Limitations of Liability  

7.1 OffPlanProperties.ai and its affiliates are not liable for:  

• The accuracy, currency, or completeness of property listings or third-party content.  
• Interruptions, downtime, or unavailability of the Website or services.  
• Errors, bugs, or technological malfunctions, including those caused by external factors.  
• Financial losses, business interruption, or reputational damage resulting from the use of the Website.  
• Any malware, viruses, or harmful materials transmitted via third-party links.  

7.2 OffPlanProperties.ai shall not be held responsible for any indirect, incidental, punitive, or consequential damages, including:  

• Loss of profits or investment.  
• Loss of data, goodwill, or anticipated savings.  
• Loss of opportunity or business.  

7.3 Users assume all responsibility for evaluating the accuracy, completeness, and usefulness of any information obtained through the Website before making investment or purchase decisions.  

8. Platform Availability  

8.1 While we strive for uninterrupted service, OffPlanProperties.ai does not guarantee that the Website will be available at all times.  

8.2 Downtime may occur due to:  

• Scheduled maintenance.  
• System upgrades or improvements.  
• Force majeure events, such as internet outages, government restrictions, or any other Unforeseen external events.  

8.3 OffPlanProperties.ai reserves the right to:  

• Suspend access to any part of the Website without prior notice.  
• Modify or discontinue any aspect of the Website or services at its sole discretion.  

8.4 We are not liable for any damages or losses resulting from service interruptions or limitations.  

9. Third-Party Links & Advertisements  

9.1 The Website may include:  

• Links to third-party websites or services.  
• Embedded advertisements or sponsored content.  
• Property listings submitted by external entities.  

9.2 OffPlanProperties.ai does not control or endorse these third-party resources and is not responsible for:  

• Their accuracy, content, policies, or practices.  
• Any transactions or communication between users and third parties.  
• Issues or damages arising from interactions with those third parties.  

9.3 Users are encouraged to exercise caution and review third-party terms and policies before engaging.  

10. Electronic Communications  

10.1 By accessing or using OffPlanProperties.ai, you consent to receiving communications electronically.  

10.2 Develolpers may contact you for purposes including, but not limited to:  

• Transaction follow-ups.  
• Service-related announcements or updates.  
• Promotional and marketing offers.  

10.3 You agree that all notices, disclosures, agreements, and communications provided electronically satisfy any legal requirement for written communication.  

10.4 You can opt out of marketing emails at any time using the “unsubscribe” link, but you may still receive service or transaction-related messages.  

11. Indemnity  

11.1 You agree to indemnify, defend, and hold harmless OffPlanProperties.ai, its parent company (Off Plan Portal L.L.C) and their officers, employees, and partners from any claims, liabilities, losses, damages, and costs (including legal fees) arising from:  

• Your misuse of the Website.  
• Your violation of these Terms.  
• Any inaccurate, false, or misleading information provided by you.  
• Any breach of third-party rights.  

11.2 This indemnity obligation survives the termination or suspension of your use of the Website.  

TERMS & CONDITIONS FOR DEVELOPERS  

1. Acceptance of Terms  

1.1 By accessing or using the Platform, the Developer confirms they have read, understood, and accepted these Terms.   
1.2 These Terms apply in addition to, and form part of, the general Terms & Conditions of OffPlanProperties.ai available on the Platform.   
1.3 If you do not agree with these Terms, you must not use the Platform.  

2. Eligibility  

2.1 Only licensed UAE real estate developers are permitted to list projects or units on the Platform.   
2.2 You must hold a valid UAE real estate development license and comply with all applicable RERA and UAE federal regulations.   
2.3 The Platform may request proof of licensing and has the right to refuse listings that fail to meet eligibility requirements.  

3. Use License & Restrictions  

3.1 We grant you a limited, non-exclusive, non-transferable license to use the Platform for the purpose of listing eligible projects and units.   
3.2 You must not:   
a) Use the Platform for any purpose other than listing and promoting off-plan UAE real estate.   
b) Reverse engineer, copy, or distribute Platform content without written consent.   
c) Upload harmful code, spam, or unrelated advertising.   
d) Circumvent listing rules or attempt to bypass approval processes.  

4. Platform Role & User Responsibility  

4.1 The Platform provides an online space for developers to publish and promote eligible listings.   

4.2 The Platform does not:   
a) Act as a broker or agent.   
b) Facilitate negotiations, handle contracts, or process transactions.   
c) Guarantee any number of leads, sales, or traffic.   

4.3 The Developer is solely responsible for:   
a) Accuracy and legality of all submitted content.   
b) Ensuring Trakheesi numbers are valid and current.   
c) Removing sold or unavailable units/projects promptly.  

5. Listing Policy  

5.1 Developers may list projects and units free of charge.   

5.2 The Platform reserves the right to change pricing or introduce fees/packages in the future with prior notice.   

5.3 All listings must:   
a) Be off-plan real estate located within the UAE.   
b) Comply with RERA regulations and UAE advertising laws.   

5.4 Listings may be rejected or removed if they are:   
a) Irrelevant or misleading.   
b) Ready-to-move-in units or non-real estate services.   
c) In violation of these Terms.  

6. Developer Obligations  

6.1 Accuracy & Compliance   
a) Provide accurate, up-to-date details including pricing, availability, specifications, images, and valid Trakheesi numbers.   
b) Ensure all information complies with RERA and UAE laws.   

6.2 Updates   
a) Remove or update listings if units are sold, withdrawn, or Trakheesi is invalid.   
b) Remove projects without active units listed.   

6.3 Responsibility   
a) You are fully responsible for the correctness of all information.   
b) The Platform is not liable for inaccurate or misleading listings.  

7. User Contributions  

7.1 By submitting content, you grant the Platform a worldwide, royalty-free license to use, publish, and promote the content for marketing purposes.  

7.2 You warrant that:   
a) You own or have rights to all submitted content.   
b) The content is lawful and accurate.  

8. Data & Lead Sharing  

8.1 The Platform may use listing content for advertising, including on social media, third-party sites, and partner networks.  

8.2 The Platform may share listing details with UAE government entities, including RERA, for compliance purposes.  

8.3 The Platform will not sell developer data to unrelated third parties.  

9. Visibility, Marketing & Lead Generation  

9.1 The Platform may promote listings using SEO, ads, and social media.  

9.2 No guarantees are made on:   
a) Number of leads.   
b) Listing visibility.   
c) Sales outcomes.  

10. Intellectual Property  

10.1 All Platform branding, design, and technology remain the property of Off Plan Portal LLC.  

10.2 Developers retain ownership of their listing content but grant the Platform the license described in Clause 7.  

11. Limitations of Liability  

11.1 The Platform is not liable for:   
a) Loss of profit, opportunity, or business.   
b) Errors or omissions in developer-provided content.   
c) Downtime, interruptions, or technical issues.  

11. Refund Policy  

11.1 All fees for Paid Content must be paid by the originator of the Content at the time of purchase.  

11.2 A refund will only be issued in the event of a duplicate payment for the same Paid Content on the Platform. In such cases, only the duplicate portion of the payment will be refunded.  

11.3 In cases of fraudulent or disputed transactions, the Developer must contact their credit card provider directly. The Platform will not be responsible for resolving such disputes.  

11.4 The Developer is responsible for any charges levied by banks or credit card clearance providers in connection with their payment.  

11.5 No refunds will be provided once Paid Content is published and live on the Platform, except in the case of a duplicate payment as stated in clause 11.2.  

12. Platform Availability  

12.1 The Platform strives for maximum uptime but does not guarantee uninterrupted service.   
12.2 Maintenance or upgrades may temporarily limit availability.  

13. Third-Party Links & Advertisements  

13.1 The Platform may display links or ads from third parties.   
13.2 We are not responsible for the content or services of third-party websites.  

14. Electronic Communications  

14.1 By using the Platform, you consent to receiving notices, updates, and communications electronically.  

15. Indemnity  

15.1 The Developer agrees to indemnify the Platform against any claims, damages, or legal actions arising from:   
a) Submitted listings.   
b) Breach of these Terms.   
c) Violation of UAE laws.  

16. Modifications  

16.1 We may modify these Terms at any time with notice.   
16.2 Continued use of the Platform after changes constitutes acceptance.  

19. Developer Acknowledgment  

By listing on the Platform, you confirm:   
a) All information is correct and legally compliant.   
b) You have read and agree to these Terms.   
c) You understand violations may result in removal from the Platform.  

Governing Law  

12.1 These Terms and any related disputes are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles.  

12.2 All legal proceedings related to these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai.  

12.3 If any part of these Terms is found to be invalid or unenforceable, the remainder shall remain in full force and effect.
